Terms and Conditions

Silicon Valley Foods provides consulting services ("Services") related to food and beverage product development, formulation, commercialization, and go-to-market strategy. Our services include—but are not limited to—prototyping, formulation development, ingredient sourcing and optimization, shelf-life testing guidance, recipe documentation for manufacturers, cost reduction strategies, regulatory and nutritional compliance support, and product commercialization planning.

You agree to:

• Provide accurate, complete, and timely information, materials, and data relevant to your project.
  
  
• Cooperate fully with our team and respond to requests in a timely manner.
  
  
• Obtain and maintain all necessary permits, certifications, and licenses for your products.
  
  
• Understand and acknowledge that our services are advisory in nature and do not guarantee specific outcomes, such as regulatory approval, commercial success, or manufacturing scalability.

We commit to:

• Delivering our services with professional care, industry-standard practices, and subject-matter expertise.
  
  
• Maintaining the confidentiality of any non-public or proprietary information shared with us.
  
  
• Providing updates on project progress and incorporating your feedback throughout key stages.

We are not liable for:

• Indirect, incidental, special, or consequential damages including loss of profits, production delays, or reputational harm.
  
  
• Any errors or omissions in information provided by the Client.
  
  
• Actions taken by the Client based on our recommendations.

Our total liability under this agreement is limited to the total amount paid by you for the specific services giving rise to the claim.

• We agree to keep confidential all proprietary information, project data, and intellectual property during the engagement and for two (2) years after termination.
• Both parties agree to avoid making any public statements or communications that may harm the other’s reputation.
• All intellectual property—including formulations, specifications, and reports—remains the property of Silicon Valley Foods until full payment has been received. Upon full payment, ownership of final deliverables will transfer to the Client for internal business use.

This agreement may be terminated:

• By mutual written agreement;
• By either party in the event of a material breach not cured within 30 days;
• By either party if the other becomes insolvent or subject to a Force Majeure lasting more than 60 days;
• By the Client at any time for convenience with 30 days’ written notice, with payment required for all services rendered up to the date of termination.

This agreement is governed by the laws of the State of [Insert State, e.g., California or Texas]. Any dispute arising from this agreement shall be resolved by binding arbitration under the rules of the American Arbitration Association (AAA).

These Terms and Conditions represent the entire agreement between the Client and Silicon Valley Foods and supersede all prior or concurrent communications, whether oral or written.
